General Terms and Conditions

for the organization of events of any kind

1. Scope of Application

These General Terms and Conditions apply to all contracts, deliveries and services provided by The Event Stylerz GmbH to its clients. Deviating terms and conditions of the client (or parts thereof) shall only apply if the agency expressly agrees to them in writing.

2. Conclusion of Contract

All offers made by the agency are subject to change and non-binding. A contract is concluded by written confirmation or by signing an individual contract. In addition, orders or commissions placed verbally - in particular within the framework of existing contractual relationships or ongoing projects - shall be deemed binding and subject to a charge, even if no separate written confirmation is issued. Such services shall be regarded as an integral part of the contract. Amendments or additions to the contract must always be made in writing.

3. Scope of Services

The agency provides full-service event management services, including the conception, planning, organization and implementation of events as well as the coordination and commissioning of external service providers. The specific scope of services is set out in the respective offer or contract. Changes or extensions must be agreed on in writing.

4. Obligations of the client to cooperate

The client undertakes to provide the agency with all information necessary for the provision of services in full and in good time. Unless expressly agreed otherwise, the client shall be responsible for obtaining all official permits, registrations and authorizations - in particular for events subject to registration (e.g. under event or trade law) - on its own responsibility and in good time. This also applies to any safety, health or noise protection requirements. The agency shall not be liable for delays or failures caused by the client's failure to comply with or delays in dealing with the authorities.

5. Remuneration and terms of payment

All prices are net, plus statutory value added tax. The agency is entitled to demand reasonable advance payments. Unless otherwise agreed, invoices shall be due for payment without deduction within 14 days of the invoice date. If down payment invoices are not paid on time, the client undertakes to indemnify and hold the agency harmless and to pay any interest on arrears and any additional costs incurred by the service providers commissioned by the agency. This includes in particular additional costs due to late payments, cancellation fees or price increases as a result of late payment. In the event of late payment, interest on arrears shall be charged at the legally permissible rate. In addition, the agency is entitled to suspend further services until payment has been received.

6. External services and third-party providers

In consultation with the client, the agency may commission external services in the name and for the account of the client. The respective provider shall be solely liable for the proper fulfillment of these services. The agency accepts no liability for delays or defects caused by third parties.

7. Client cancellation

In the event of full or partial cancellation by the client, the cancellation conditions agreed individually in the contract shall apply. These shall take into account the type, scope and proximity to the event as well as any services already provided by the Agency itself or by third parties.

In the absence of a separate agreement, the agency reserves the right to charge an appropriate flat-rate reimbursement of expenses. Third-party services arranged by the client and already commissioned shall be reimbursed in full in the event of full or partial cancellation.

Even in the event of a partial cancellation - for example the omission of individual service modules or numbers of participants - a pro rata reimbursement of costs may be incurred if this affects expenses already incurred or contractual obligations to third parties. Both contracting parties reserve the right to provide evidence of lower or higher damages.

8. Cancellation, postponement or change by the agency

The agency reserves the right to cancel or postpone an event for important reasons, such as illness, force majeure or unforeseeable impossibility of performance. In this case, an alternative date will be sought together with the client or payments already made will be refunded. Further claims are excluded.

9. Force Majeure

Force majeure is defined as unforeseeable and extraordinary events that are beyond the agency's control - including natural disasters, pandemics, official measures or comparable events. In such cases, the agency is entitled to suspend its services or terminate the contract in whole or in part. Services already provided and costs incurred shall be borne by the client. Any additional costs in the event of a postponement shall also be borne by the client.

10. Liability

The agency shall only be liable for damages caused by intentional or grossly negligent behavior. In the event of slight negligence, liability shall be limited to the breach of material contractual obligations and the amount shall be limited to the contractually agreed total value of the service. Liability for consequential damage, loss of profit or damage to third parties is excluded.

The client declares that it has organizer's liability insurance with cover of at least EUR 5,000,000 per claim. A copy of the policy shall be made available to the Contractor on request or in general. This insurance must cover in particular personal injury and damage to property during the event. The agency assumes no liability for damages that are attributable to insufficient insurance coverage of the client or its vicarious agents.

11. Copyright and rights of use

All concepts, presentations, designs and other creative services developed by the agency are subject to copyright. Use is only permitted with express written consent and after full payment. Upon payment, the client acquires a simple, non-transferable right of use to the agreed extent.

The organizer is liable for all media and materials brought in by him that are protected by copyright. The agency is expressly exempted from any liability in connection with the unlawful use of such content. Should the agency use copyrighted content, data or materials at the request or on behalf of the organizer, the legal responsibility for this lies exclusively with the organizer. The organizer undertakes to obtain all necessary rights of use, licenses or approvals and to indemnify and hold the agency harmless in the event of claims by third parties.

12. Privacy Policy

Personal data of the client will be processed by the agency exclusively in accordance with the General Data Protection Regulation (DSGVO) and only to the extent necessary to fulfill the contract. Data will only be passed on to third parties if this is necessary in the context of order processing.

13. Final provisions

Austrian law shall apply to all legal relationships to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes is, as far as legally permissible, Salzburg. Should any provision of these GTC be invalid, the validity of the remaining provisions shall remain unaffected. Amendments and supplements to the GTC or the contract must be made in writing.

15. Order processing

Insofar as the agency processes personal data on behalf of the client as part of the fulfillment of the contract, this is done as a processor within the meaning of Art. 28 DSGVO. The agency undertakes to use the data only for the intended purpose and to take appropriate technical and organizational measures to protect the data. The details of the order processing are regulated in a separate agreement on order processing (AVV), which can be requested by the client on request. The client is responsible for the lawfulness of the data processing and for obtaining any consent.

16. Safety regulations

The client undertakes to comply with all applicable safety regulations and official requirements for the event. This includes, in particular, fire protection regulations, evacuation plans, accident prevention regulations as well as any necessary safety concepts and the provision of security personnel. In the event of recognizable safety deficiencies or risks, the agency shall be entitled to refuse or suspend the performance of individual services or the entire event until the deficiencies have been rectified. The client shall indemnify the agency against all third-party claims resulting from a breach of the safety regulations.
